Bylaw Revision
We are proposing a major revision to the bylaws for which we’ll need a 2/3rd majority vote to approve the changes. There are three primary types of changes proposed: (1) Changes clarify language in order to eliminate ambiguity; (2) Changes needed to eliminate leftover artifacts from when the original developers were involved with the association and (3) Additions to allow us to use things like email, internet, etc., to do business.
One last change proposal to the bylaws is move our fiscal year start/stop dates. Currently, our fiscal year starts on March 1st and ends on Feb 28th. This is awkward, as most corporate fiscal years start and stop on standard calendar year quarters such as January 1, April 1, July 1, or October 1. Next, and even more awkward, is that our fiscal year currently starts nearly 2 months before the membership has a chance to approve the Annual budget proposal Membership Meeting in April. Moving the FY to start July 1st clears up this awkwardness. However, this is step 1 in our quest to change the FY start date. Apparently, when the developers recorded the PVPOA Charter with Gasconade county in 1966, it also specified that the fiscal year starts on March 1. In order to make a change to that document, we must first change our bylaws, then propose a change to the charter which requires a 2/3rds majority vote of the membership.
ON the lower part of the page here and in your membership package being seind out in early March, you'll be receiving a copy of the bylaws with the proposed changes. There will be a series of color-coded adds, changes, or deletions along with a explanation out in the margin giving the reasoning behind the proposed changes. Below is an excerpt of one section of the bylaws with proposed changes. The way to interpret this is as follows: First, read the comment in the margin explaining what the change is trying to accomplish. Next, within the text highlighted in light green you see three types of text—Black Text in which nothing is being changed, blue underlined text which is a suggested addition, and red strikethrough text, with is suggested deletion. The excerpt below is one of the changes proposed to clean up an artifact left over from the early days while we were still under development. When the text was written, the lodge had not been built yet, so they had no regular place to meet. Now that we have a lodge, we can revise the language to specify that the lodge is the normal place for meetings, unless it is unavailable.
